Product Specific Terms – Billing of Google Voice
- Supplier Obligations
- The Supplier shall provide Billing of Google Voice from the Services Start Date for the Term specified in the relevant Ordering Document.

- Customer Obligations
- The Customer shall:
- not sub-assign numbers to, provide access to, or otherwise enable use of Google Voice by, individuals under the age of legal consent as determined by the applicable laws of the relevant jurisdiction. GVSP may suspend or permanently disable any accounts that are used by or provisioned to such individuals;
- provide any necessary notices and obtain and maintain consents required from End Users to allow the Supplier and Google to perform their respective contractual obligations in respect of the Customer;
- with no alteration or amendment accept the Google Voice Service Specific Terms;
- procure its End Users to, with no alteration or amendment accept the Google Voice Service Specific Terms;
- comply in all respects with the Google Voice Service Specific Terms;
- acknowledge and agree that the Google Voice Service Provider is a third party beneficiary of the Google Voice Service Specific Terms; and
- prior to the Service Start Date, provide the Supplier with any additional information reasonably required for the provision of Google Voice.
- The Customer shall:
- Annual or Multi-Year
- The Supplier shall invoice the Customer the Fees for the Plan set out in the Ordering Document, annually in advance. The Supplier shall invoice the Customer at the end of the month the Calling Rates accrued at the end of the then-current month. Google's measurement of Customer’s use of Google Voice is final.
- The quantity of Google Voice users set out in the Ordering Document (including any Additional Mid-Term Purchases) cannot be decreased at any time during the Term.
- Any additional quantities of Google Voice purchased after the Services Start Date set out in the relevant Ordering Document (“Additional Mid-Term Purchases”) shall be subject to these Product Specific Terms and shall be aligned with the Term set out in the original Ordering Document so that the Additional Mid-Term Purchase terminates at the same time as the original Ordering Document.
- Flexible
- The Supplier shall invoice the Customer the Fees for the Plan monthly. The Supplier shall invoice the Customer at the end of the month the Calling Rates accrued at the end of the then-current month. Google's measurement of Customer’s use of Google Voice is final.
- If the Customer changes Plan during the then-current month, the Fees for the new Plan will come into effect on the date the Plan is changed by the Supplier.
- General
- The Charges shall be set out in the Ordering Document in US Dollars. The Supplier shall convert the Charges into the Invoicing Currency set out in the Ordering Document at the time of invoicing.
- Google is a duly authorised agent of the applicable Google Voice Service Provider and has authorised the Supplier to resell and/or supply Google Voice, to the Customer subject to the terms of these Product Specific Terms.
- The applicable Google Voice Service Provider will provide Google Voice to the Customer as described in the Google Voice Service Specific Terms.
- Use of Google Voice may require a separate broadband or mobile data connection and an End User device compatible with certain minimum technical requirements.
- Customer, the Supplier and Google are independent contractors with respect to the Billing of Google Voice.
- The Supplier may suspend Customer’s use of Google Voice if (i) Customer breaches its Google Voice Charges obligations; or (ii) Customer or End User breaches the Google Voice Service Specific Terms.
- If the Customer terminates the relevant Ordering Document pursuant to the General Terms & Conditions, the Supplier shall use reasonable endeavours to procure migration of the outstanding Billing of Google Voice either to Google or to an authorised third party provider.
- Definitions
- The following definitions apply in these Product Specific Terms:
Annual: means from the Services Start Date a term of 12 calendar months.
Calling Rates: are the then-current dialling rates described at (i) for Google Voice, https://voice.google.com/rates, and (ii) for Google Meet Telephony, https://meet.google.com/u/0/tel/rates.
Fees: means the fees for the Customer’s corresponding Plan as set out in the Ordering Document, as more fully described at: https://cloud.google.com/voice.
Flexible: means Customer is billed monthly for the Fees and for the Calling Rates accrued by each End User account at the end of the then-current month and may terminate the Ordering Document by providing 30 days written notice of termination to the Supplier. Customer is free to change Plans at any time.
Google Voice Charges: means the Fees and Calling Rates.
Google Voice Service Specific Terms: means the then-current terms at the following URL: https://gsuite.google.com/intl/en/terms/service-terms/ (as the content at such URL and the URL itself may be updated or modified by Google from time to time).
Google Voice Service Provider or GVSP: has the meaning given to it under the Google Voice Service Specific Terms which can be found at the following URL: https://workspace.google.com/terms/service-terms/voice/providers.html (as the content at such URL and the URL itself may be updated or modified by Google from time to time).
Multi-Year: means from the Services Start Date a term of multiple years as specified in the Ordering Document.
Plan: means either Google Voice Starter, Google Voice Standard or Google Voice Premier, as more fully described at: https://cloud.google.com/voice
