Product Specific Terms – Billing of Looker

  1. Supplier Obligations:
    1. Supplier shall provide Billing of Looker from the Services Start Date for the Term specified in the relevant Ordering Document.
  2. Customer Obligations:
    1. The Customer shall:
      1. agree to and comply with the Looker Terms;
      2. give consent for Supplier to provide their contact details and / or their representatives contact details to Google to allow Google to use the details to communicate directly with them: (i) as is required to execute any non-standard orders (ii) for purposes related to the provisioning of the Looker Services to Customers’ account, including in relation to any product updates or security incidents; (iii) as required to ensure the Customer is notified of available options to maintain continuity in the provision of the Looker Services; (iv) to conduct customer service and satisfaction surveys; and (v) to inform Customers about new or additional Google product related to the Looker Services the Customer is using; 
      3. not use the Looker Services in connection with any use involving High Risk Activities;
      4. not: (i) resell, distribute, supply, lease or allow another third party to use the Looker Services (ii) use the Looker Services or any Google documentation provided for any purpose other than as permitted hereunder; or (iii) adapt, alter, modify, decompile, translate, disassemble or reverse engineer any Looker Services or any part thereof including the source code and any other underlying ideas or algorithms of the software forming part of the Looker Services; 
      5. not (and shall not authorise or assist any third party to): (a) remove or alter any copyright, trademark or other proprietary notices (including without limitation any license files) from the Looker Product; (b) disclose results of any benchmark or other performance tests related to the Looker Product to any third party; (c) access or use the Looker Product or permit it to be accessed or used for purposes of: (i) product evaluation, benchmarking or other comparative analysis, or (ii) building a competitive product or service or copying its features or interface; (d) use the Looker Product in a proof of concept, evaluation, production or other environment for prospects or customers; or (e) except as expressly permitted hereto, distribute, sell, sublicense, rent, lease or provide access to the Looker Product, or use or provide the Looker Product (or any portion thereof) for time sharing, hosting, service provider or similar purposes; and 
      6. shall cooperate with Supplier to facilitate Supplier’s participation in any services reviews at Google’s request (in accordance with the services review terms set forth in the applicable Looker Terms). Supplier shall be entitled to recover from the Customer any fees due as a result of the services review. Supplier may not agree to any settlement with the Customer for less than the fees actually owed without the written consent of Google.
  3. General
    1. Unless otherwise set out in the relevant Ordering Document, Supplier shall invoice the Customer at the end of the month.
    2. The Charges in the Ordering Document shall be in US Dollars. The Supplier shall convert the Charges into GBP £ sterling or Euros € (as specified in the Ordering Document) at the time of invoicing.
    3. Supplier reserves the right to issue additional invoices to the Customer in arrears if a Customer’s usage of the Looker ProduSupplier exceeds the licence amount set out in the Ordering Document. Any such additional usage will be charged at Google's then-current list prices, less applicable discounts.
    4. Subject to the Customer’s purchase of Looker Technical Support Services in the Ordering Document, Google will provide such technical support for the Looker Product(s) directly to the Customer in accordance with the Looker Technical Support Services Guidelines.
    5. Additional quantities of the Looker Product purchased after the Services Start Date set out in the relevant Ordering Document (“Additional Mid-term Purchase”) shall be subject to the terms of these Product Specific Terms and be aligned with the Term set out in the original Ordering Document so that the Additional Mid-Term Purchase terminate at the same time as the original Ordering Document. 
    6. The quantity of Looker Product(s) set out in the Ordering Document (including any Additional Mid-Term Purchase)  cannot be decreased during the Term.
    7. For any Looker-hosted order, there shall be an infrastructure provider including but not limited to: Google, AWS or Azure. 
    8. Where the Customer terminates the relevant Ordering Document pursuant to the General Terms & Conditions, Supplier shall use reasonable endeavours to procure migration of the outstanding Billing of Looker either to Google or to an authorised third party provider.
  4. Definitions 
    1. The following definitions apply in these Product Specific Terms:

      Acceptable Use Policy or AUP:
      means the acceptable use policy for the Looker Product: https://looker.com/trust-center/legal/customers/aup.

      Annual:
      means from the Services Start Date a term of 12 calendar months. 

      Billing of Looker:
      means the provision of Looker Product account related activities including; placing initial orders for the Customer on its already established Google account, managing additional Customer orders, fee collection and such other services required to administer a Customer’s Looker account.

      Data Processing and Security Terms or DPST
      : means the then-current terms describing Google’s data protection and processing obligations for the Looker Product: https://looker.com/trust-center/legal/partners/partner-dpst. Any reference to “Looker” in the DPST shall be replaced with and mean “Google”.

      Google Software
      : means any downloadable tools, including licensed Looker data platform, and any other computer software provided in connection with the Looker Services and any copies, modifications, derivative works or enhancements thereto.

      High Risk Activities:
      means uses such as the operation of nuclear facilities, air traffic control or life support systems, where the failure of Looker Product could lead to death, personal injury or environmental damage.

      Looker Product(s):
      means the Looker Services, Google Software, LTSS, Looker PSO Services, the Looker Jumpstart Enablement Services and other Looker product or services billed or resold by Supplier.

      Looker Jumpstart Enablement Services:
      means the enablement and training services described in the Looker Terms.

      Looker Professional Services or PSO Services:
      means the advisory and consulting services described in the Looker Terms.

      Looker SLA:
      shall mean the Looker SLA described at https://looker.com/trust-center/legal/sla-lss updated from time to time in the Looker Terms.

      Looker Services:
      means an integrated platform, including cloud-based infrastructure and software components (including associated API’s) that enables businesses to analyse data and define business metrics across multiple data sources.

      Looker Technical Support Services or LTSS:
      means the then-current technical support service provided by Google to Supplier or Customer under the Looker Technical Support Services Guidelines.

      Looker Technical Support Services Guidelines or LTSS Guidelines:
      means the then current technical support service provided by Looker to Customer described at https://looker.com/trust-center/legal/customers/support-lss 

      Looker Terms:
      mean the “Looker Terms of Service” which are described at: https://looker.com/trust-center/legal/customers/msa and any incorporated terms therein that pertain to the Looker Product, including the AUP, Data Processing and Security Terms, the Looker SLA and the LTSS Guidelines.

      Multi-Year
      : means from the Services Start Date a term of multiple years as specified in the Ordering Document
