Product Specific Terms – Billing of Chrome Licences

  1. Supplier Obligations: 
    1. Supplier shall provide Billing of Chrome Licences from the Services Start Date for the Term specified in the relevant Order Form.
  2. Customer Obligations:
    1. Customer shall:
      1. acknowledge and accept that Supplier is not the operator of the Chrome Licences and that it shall be subject to the applicable Pass-Through Terms; 
      2. accept the Chrome Product TOS prior to using the Services;
      3. not engage in any illegal or deceptive trade practices; and
      4. not make any unauthorised, false, misleading, or illegal statements in connection with these Product Specific Terms or regarding the Services, or represent itself, or act as, an agent or representative of Google and / or Supplier; and
      5. agree that the Supplier may disclose Customer information to Google as reasonably required for Google to provide technical support to Supplier in connection with the Customer’s support issues; and
      6. provide the necessary notices, and obtain and maintain any consents, required from end users to allow Supplier and Google to perform their respective contractual obligations to the Customer; and
      7. acknowledge that the TSS Guidelines state the Customer's sole service commitment for Chrome Product and does not include any remedies; and
      8. acknowledge that Google will only provide technical support directly to the Customer as stated in the Chrome Product TOS.
  3. General
    1. Unless otherwise set out in the relevant Order Form, Supplier shall invoice the Customer annually in advance. 
    2. Additional quantities of Chrome Licences purchased after the Services Start Date set out in the Order Form (“Additional Mid-Term Purchase”) shall be subject to the terms of these Product Specific Terms and shall be aligned with the Term set out in the original Order Form so that the Additional Mid-Term Purchase terminates at the same time as the original Order Form. 
    3. Where the Customer enters into an Annual or Multi-Year Term, the quantity of the Chrome Licences set out in the Order From (including any Additional Mid-Term Purchases) cannot be decreased at any time during the Term.
    4. The parties shall be independent contractors under this Product Specific Terms, and nothing herein shall constitute either party as the employer, employee, agent, or representative of the other party, or both parties as joint venturers or partners for any purpose. 
  4. Definitions 
    1. The following definitions apply in these Product Specific Terms:

      Annual: 
      means from the Services Start Date a term of 12 calendar months. 

      Chrome Licences:
      means including but not limited to: Chrome OS Device Licences, Google Meets Licences and Google Jamboard Licences.

      Chrome OS Devices Licences:
      means Chrome Enterprise Upgrade, Chrome Education Upgrade, or Chrome Non-profit Upgrade, each of which are described in more detail at https://support.google.com/chrome/a/answer/2717664 (as may be updated by Google from time to time)/

      Google Jamboard Hardware:
      means the Google Jamboard monitor. 

      Google Jamboard License:
      means a management licence for use on Google Jamboard Hardware. 

      Google Meet Hardware:
      means as described at: https://meetingdevices.withgoogle.com/ 

      Google Meet Licence:
      means the software licence required for Google Meet Hardware. 

      Chrome Product TOS
      means the then-current terms of service that govern the use of the Chrome Product and must be agreed directly by a Customer with Google or its Affiliates either via (i) acceptance by the Customer when presented by Google or its Affiliates online at https://cloud.google.com/terms/chrome-enterprise/chrome-service-license-agreement 

      Multi-Year:
      means from the Services Start Date a term of multiple years as specified in the Order Form. 

      Pass-Through Terms:
      means the Chrome Product TOS and if applicable, the TD SYNNEX Terms and Conditions https://eu.tdsynnex.com/terms-conditions.
