Product Specific Terms – Billing of Google Maps

  1. Supplier Obligations
    1. The Supplier shall provide Billing of Google Maps to the Customer for the Term specified in the relevant Ordering Document.

  2. Customer Obligations
    1. The Customer shall:
    2. accept and comply with the Google TOS, which governs the Customer’s access to and use of Google Maps Services, without alteration or amendment before the Customer access or uses any Google Maps Services;
    3. periodically review the Google TOS to ensure compliance with any updates; 
    4. obtain and maintain consents required from end users to allow the Supplier to perform its obligations under the Contract; 
    5. accept that the SLA states the Customer’s sole and exclusive remedy for any failure by Google to meet the SLA, and Customer must request any SLA remedies directly from the Supplier. 
    6. accept that Google will provide technical support directly to Customers only as specified in the Google TOS
    7. accept that Google, the Supplier and the Customer are independent contractors with respect to the Billing of Google Maps Services 
    8. provide the appropriate consents to the Supplier for the Supplier to provide Customer information to Google, as reasonably required by Google, in order for Google to provide technical support to the Supplier in connection with the relevant Customer's Google Maps Services support issue. 
    9. acknowledge that Google may revise the prices at any time

  3. General
    1. Google shall apply the Charges set out in the relevant Ordering Document for Google Maps Platform Core Services on the Customer’s Subaccount;
    2. Google reserves the right to revise the Charges at any time. 
    3. All Charges set out in the Ordering Document are in US Dollars.  The Customer’s preferred invoicing currency shall be set out in the Ordering Document. The foreign exchange rate used by Google to calculate the conversions will be the most recent spot rate resident in 
    4. All Google Maps Platform Services other than the Google Maps Platform Core Services that are applicable to the Customer’s Subaccount will be charged at then-current list prices.
    5. Each Google Maps Platform Core Services price is determined on a cost per 1,000 queries (“CPM”) model 
    6. Usage for a given price tier will be charged at the specified CPM rate. The total fees due will be the cumulative amount of usage for each price tier.
    7. Usage of each Google Maps Core Services for a calendar month is included for calculating total fees due for invoice generation. 
    8. At the end of the Term, unless either party gives 45 days written notice of its intent not to renew, the relevant Ordering Document shall auto-renew for 12 months.

  4. Definitions 
    1. The following definitions apply in these Product Specific Terms:

      Billing of Google Maps Services:       means ongoing account-related activities including billing and collecting fees for Google Maps Services.

      Customer’s Subaccount:       means as defined in the Ordering Document 

      Google Maps Platform Core Services:       means the services as described at https://cloud.google.com/maps-platform/terms/maps-services?hl=en (as may be updated by Google from time to time)

      Google TOS:       means the terms of service that govern the use of the Google Maps Services, available at https://cloud.google.com/maps-platform/terms?hl=en (as may be updated by Google from time to time
