Supplier Obligations

Supplier shall:

New Starter Workspace Videos

(a) provide to the Customer using Google shared drive the Workspace New Starter Videos; and

(b) grant to the Customer a non-exclusive, royalty-free perpetual licence to use the Workspace New Starter Videos;

Tip of the Week

(a) send via email a Workspace Tip of the Week, once a week from the Services Start Date direct to Customer’s End Users;

(b) be solely responsible for selecting the content that is included in the Workspace Tip of the Week; and

(c) include within the Workspace Tip of the Week a statement setting out that the Workspace Tip of the Week is powered by the Supplier and the option for End Users to opt-out of receiving the Workspace Tip of the Week. For the avoidance of doubt, if an End User chooses to opt-out of receiving the Workspace Tip of the Week, the Supplier shall remove that End-user from the mailing list. For the avoidance of doubt, there will be no reduction in the Charges as a result of Customer’s End Users opting-out.

Customer Obligations

Customer shall:

(a) use the Workspace New Starter Videos for internal business purposes only;

(b) not (and shall not authorise or assist any third party to) sub-license, assign or otherwise transfer the Workspace New Starter Videos to any third party;

(c) provide the Supplier with the list of End Users that shall receive the Workspace Tip of the Week, subject to the cap of End Users set out in the Ordering Document; and

(d) use Workspace Tip of the Week for internal business purposes only.

General

(a) Unless otherwise set out in the relevant Ordering Document, the Supplier shall invoice the Customer on the Effective Date.

(b) The Supplier may increase the Charges annually. This increase will be based on the preceding month's announced inflation rate (either ONS CPI (Consumer Price Index) for contracts with Qodea Limited/Qodea Technology Limited, or ECB HICP (Harmonised Index of Consumer Prices) for contracts with Cloud Technology Solutions Nederlands B.V./Appsbroker Europe GmbH), plus an additional 5%. If the applicable inflation rate is negative, only the 5% additional charge will apply.

Definitions

The following definitions apply in these Product Specific Terms:

Workspace: means a software as a service product owned by Google that groups all the cloud-based productivity and collaboration tools developed by Google for businesses and more particularly described at https://workspace.google.com/terms/user_features.html, as amended from time to time.

Workspace New Starter Videos: means a collection of 15 videos for the purpose of up-skilling End Users of Workspace. The topics covered are: Intro to Google Workspace, Gmail day 1, Conversation view in Gmail, Organising and finding what you need in Gmail, Getting more from Gmail, Keep and Tasks, Chat and Rooms, Video Conferencing with Meet, Calendar day 1, Scheduling with Calendar, Drive day 1, Sharing files or folders, Getting started with Google Docs, Collaboration tips and Working with attachments.

Workspace Tip of the Week: means an email sent to users once per week which details a feature, update, or interesting fact about Google Workspace.
