Professional Services Product Specific Terms

  1. Professional Services 
    1. The Supplier may provide Professional Services to the Customer on a Fixed Deliverable, Fixed Resource or Time & Material basis. 
    2. Once Supplier has confirmed the Services Start Date to the Customer, should Supplier be unable to commence delivering the Professional Services from the Services Start Date due to the Customer's failure to comply with its obligations under the General Terms & Conditions, Supplier reserves the right to apply additional charges, at Supplier’ prevailing standard rates, to compensate Supplier for any Resources allocated.

  2. Fixed Deliverable Professional Services 
    1. Where the Supplier is providing Professional Services on a Fixed Deliverable basis, the Customer and the Supplier shall enter into an Ordering Document which shall include a Statement of Work (“SOW”).
    2. The SOW shall include but is not limited to the Charges for the Fixed Deliverables piece of work, the Deliverables, the Acceptance Criteria for each Deliverables and any specific prerequisites the Customer needs to complete prior to the Services Start Date.
    3. The Deliverables shall be considered accepted if they conform with their respective Acceptance Criteria set out in the SOW.

  3. Fixed Resource Professional Services
    1. Where the Supplier is providing Professional Services on a Fixed Resource basis, the Customer and the Supplier shall enter into an Ordering Document which shall take the form of an Order Form.
    2. The Order Form will specify the Resources the Customer is buying, their daily rate, and include a Resource Schedule. 
    3. The Supplier will provide these Resources during Business Hours on Business Days according to the Resource Schedule. 
    4. Unless otherwise set out in the Ordering Document, the Supplier will invoice the Customer in equal monthly installments. 
    5. The Customer shall be responsible for utilising the Resources on the scheduled days. Should the Customer fail to utilise the Resources on the scheduled days, the Charges will not be refunded.
    6. Fixed Resource Professional Services are based on the number of Business Days listed in the Order Form and are not tied to the completion of any Deliverables.

  4. Time & Material Professional Services 
    1. Where the Supplier is providing Professional Services on a Time & Material basis, the Customer and the Supplier shall enter into an Ordering Document which shall take the form of a Project Specification. 
    2. Unless otherwise set out in the Ordering Document, the Supplier shall invoice the Customer at the end of each month for the Resources that have been made available to the Customer in the previous month in accordance with the daily rates set out in the Ordering Document.
    3. The daily rates are calculated based on 7.5 Business Hours.
    4. The Supplier shall charge the Customer for a minimum of one half of the daily rate for between 0-3.75 Business Hours of Professional Services provided to the Customer by the applicable Resource.
    5. The Supplier shall charge the Customer the daily rate for between 3.75-7.5 Business Hours of Professional Services provided to the Customer by the applicable Resource.
    6. The Supplier shall ensure that every Resource that provides Professional Services to the Customer, completes time sheets, which shall be made available to the Customer on request.
    7. The Supplier shall endeavour to give the Customer an estimate of how much the work is likely to cost, based on the Supplier’s understanding of the facts known at that time. If the Supplier is unable to give an estimate because of the nature of the work, the Supplier shall give the Customer an indication of how much to budget for, based on the Supplier’s experience of similar work. The Supplier shall let the Customer know as soon as is reasonably practicable if an estimate changes.
    8. The Supplier may advise the Customer when Charges reach a certain level, or the Customer may set a limit on the level of charges that may be incurred without further reference. Any estimate given by the Supplier for work to be carried out is not intended to be fixed.
    9. T&M Professional Services are not dependent upon any Deliverables being completed.

  5. Definitions:

    Business Day:     a day other than a Saturday, Sunday or public holiday in the Supplier contracting entity’s jurisdiction. 

    Business Hours:     means 09:00 hours – 17:00 hours of the Supplier contracting entity on a Business Day

    Resources:     means the resources identified in the Order Form, as described in the Professional Services Resource & Capabilities Matrix which can be found at
    www.qodea.com/policies/professional-services-resource-capabilities-matrix or as described in the Order Form

    Resource Schedule:     means the indicative resource schedule set out in the Order Form, which may be subject to change
